Important: This document is a general business template and should be reviewed by a qualified attorney before you publish it or rely on it as your company’s legally binding shipping terms. Transportation contracts can also be subject to applicable federal and state laws, tariffs, carrier terms, and shipment-specific agreements.

A quote may depend on factors including:

  • Origin and destination
  • Freight classification
  • Weight and dimensions
  • Number of pieces
  • Type of goods
  • Pickup and delivery requirements
  • Accessorial services
  • Fuel or transportation costs
  • Carrier availability
  • Additional shipment requirements

A quote may be adjusted if the actual shipment differs from the information originally provided.

Unless expressly stated otherwise in writing, a quote does not constitute a guarantee of a particular transportation schedule, delivery time, carrier, or final transportation cost.

4. Shipment Information

Customers are responsible for providing accurate and complete shipment information.

This may include:

  • Correct pickup address
  • Correct delivery address
  • Contact information
  • Freight description
  • Weight
  • Dimensions
  • Quantity

  • Any applicable restrictions or special instructions

Additional charges may apply when the information supplied by the customer is inaccurate, incomplete, or materially different from the actual shipment.

Goods should be packaged in a manner reasonably appropriate for normal handling and transportation.

The customer is responsible for ensuring that:

USG Ship Center may refuse a shipment that is improperly packaged, unsafe, prohibited, inadequately documented, or otherwise unsuitable for transportation.

6. Prohibited and Restricted Shipments

Customers must not tender goods that are illegal or prohibited from transportation.

Certain goods may also be subject to special handling requirements, restrictions, documentation requirements, or carrier-specific rules.

7. Hazardous Materials and Dangerous Goods

Customers must disclose hazardous materials, dangerous goods, regulated materials, or other items requiring special transportation procedures before tendering a shipment.

The customer is responsible for providing accurate descriptions, classifications, labels, documentation, and other information required for the shipment.

Failure to properly disclose regulated materials may result in additional charges, shipment delays, refusal of transportation, return of the shipment, or other action permitted by applicable law.

8. Pickup and Delivery

Pickup and delivery dates or time windows provided by USG Ship Center or a carrier are estimates unless expressly guaranteed in a written agreement.

Pickup or delivery may be affected by circumstances including:

  • Incorrect addresses
  • Customer availability
  • Loading or unloading delays
  • Facility restrictions

Such services may need to be requested in advance.

10. Third-Party Carriers

USG Ship Center may coordinate or arrange transportation through independent third-party carriers and service providers.

Where a third-party carrier is involved, the carrier may have its own:

  • Terms and conditions
  • Tariffs
  • Rules
  • Service limitations
  • Claims procedures
  • Liability provisions
  • Delivery requirements
  • Accessorial charges

The terms applicable to a particular shipment may therefore include the applicable carrier’s rules and terms in addition to these Terms & Conditions.

11. Shipment Tracking

Where tracking information is provided, tracking information is supplied for informational purposes.

Tracking updates may depend on information received from the applicable carrier or transportation provider.

A tracking status may be delayed, incomplete, temporarily unavailable, or subject to correction.

USG Ship Center does not guarantee that tracking information will be continuously available or updated in real time.

12. Transit Times and Delays

Transportation times are estimates unless a specific service commitment is expressly agreed to in writing.

USG Ship Center is not responsible for delays caused by circumstances outside our reasonable control, including events affecting transportation providers, infrastructure, weather, traffic, government actions, labor disruptions, accidents, or other unforeseen events.

A delay does not automatically constitute a failure to provide services or create an entitlement to a refund or compensation unless required by applicable law or an applicable written agreement.

13. Shipping Charges and Payment

The customer agrees to pay all applicable charges associated with the services provided.

Charges may include:

  • Transportation charges
  • Fuel-related charges

  • Delivery charges
  • Accessorial services
  • Storage charges
  • Re-delivery charges
  • Address correction charges

  • Other applicable fees

The final amount may differ from an initial estimate if shipment details or transportation requirements change.

Unless otherwise agreed in writing, payment is due according to the payment terms presented at the time of purchase, booking, or invoicing.

14. Additional Charges

Additional charges may be assessed when circumstances differ from those represented when the shipment was quoted or booked.

Examples include:

  • Incorrect freight dimensions or weight
  • Incorrect freight classification
  • Additional pieces

  • Residential or limited-access delivery
  • Liftgate requirements
  • Detention
  • Storage
  • Re-delivery
  • Address corrections
  • Waiting time
  • Other services requested or required for the shipment

Where appropriate, USG Ship Center may contact the customer regarding additional charges.

15. Cancellations

Cancellation requests should be submitted as soon as possible.

Depending on the stage of the shipment and whether transportation or other services have already been arranged, cancellation charges may apply.

Once a carrier has been dispatched or transportation has commenced, cancellation may not be possible without applicable charges.

Any cancellation policy presented during the booking process or contained in a shipment-specific agreement will control where applicable.

16. Claims for Loss or Damage

Customers should inspect shipments promptly upon delivery.

If freight appears damaged, customers should document the condition of the shipment and retain relevant evidence, which may include:

  • Photographs
  • Packaging
  • Shipping documents
  • Delivery receipts
  • Damage descriptions
  • Other documentation relevant to the claim

Claims for loss or damage must be submitted according to the applicable carrier’s claims procedures and within any applicable legal or contractual deadline.

The applicable carrier’s rules and governing law may determine the procedures, documentation, limitations, and available remedies for a particular claim.

USG Ship Center does not waive or alter any applicable carrier claim requirements through these Terms.

17. Customer Responsibility for Losses Caused by Incorrect Information

The customer may be responsible for additional costs, losses, or charges resulting from inaccurate, incomplete, or misleading information supplied by the customer.

  4. You will comply with applicable laws and transportation requirements.
  5. You will provide documentation reasonably required for the shipment.
  6. You will pay applicable charges associated with the services.

The appropriate jurisdiction and venue for a particular dispute may depend on applicable law, the parties’ agreement, the shipment involved, and the applicable transportation regulations.

30. Dispute Resolution

Before initiating formal legal proceedings, the parties are encouraged to attempt to resolve disputes through good-faith communication.

Where appropriate and legally permissible, the parties may agree to mediation or another alternative dispute-resolution process.

Nothing in this section prevents a party from pursuing a claim or remedy that cannot legally be waived or that is otherwise required to be handled through a particular procedure.

If any provision of these Terms & Conditions is determined to be invalid, unlawful, or unenforceable, the remaining provisions will remain in effect to the extent permitted by law.

32. Waiver

A failure by USG Ship Center to enforce any provision of these Terms & Conditions does not constitute a waiver of our right to enforce that provision in the future.

33. Entire Agreement

These Terms & Conditions, together with any applicable quote, invoice, bill of lading, shipment-specific agreement, carrier terms, privacy policy, and other written terms expressly incorporated into the transaction, constitute the applicable agreement concerning the relevant services, subject to applicable law.

Where there is a conflict between these Terms and a separately executed written agreement, the applicable written agreement may control to the extent specified in that agreement.
